Umbrella Company

A company that employs contractors on behalf of agencies or end clients, handling their payroll and tax obligations.

General

Umbrella companies employ contractors who would otherwise work through their own limited companies or as sole traders. The umbrella handles payroll, taxes, and administration. This is common in the UK and similar markets, particularly for contractors on agency placements.

How Umbrellas Work

The contractor becomes an employee of the umbrella company. Client payments flow through the agency to the umbrella, which processes payroll, deducts taxes, and pays the contractor as an employee. The contractor receives a salary minus taxes and umbrella fees.

When Umbrellas Are Used

Umbrellas suit contractors on short or varied assignments, those caught by IR35 or similar rules requiring employment taxation, workers who prefer employment simplicity over running their own company, and those wanting to avoid limited company administration.

Umbrella vs. EOR

Umbrellas and EORs both employ workers, but umbrellas primarily serve contractor markets while EORs typically employ permanent workers. Umbrella relationships are usually temporary and contractor-driven. EOR relationships are usually longer-term and company-initiated.
